Terms of Service

Effective Date: 7 September 2026

These Terms of Service (“Terms”) are an agreement between you and Setten Company Limited (“Setten”, “we”, “us”, “our”). They govern access to and use of Setten at settenhq.com and related applications (the “Service”).

If you use the Service for yourself, “you” means you personally. If you use the Service for an organisation, or create or administer a workspace for an organisation, “you” means that organisation, and you represent that you have authority to bind it.

1. The Service

1.1 Service. Setten is a workspace and productivity platform. Features vary by plan and configuration and are subject to availability.

1.2 Changes. We may add, modify, or remove features. We will not materially reduce the core functionality of a paid plan during a period you have already paid for, except where required by law, for security reasons, or because a third-party dependency is no longer available on reasonable terms.

1.3 Beta features. We may offer beta, preview, or experimental features. They are provided as-is, may change or be withdrawn at any time, and are not covered by any service commitment.

2. Accounts and Eligibility

2.1 Age. You must be at least 18 years old and capable of forming a binding contract to use the Service.

2.2 Account information. You must provide accurate account information and keep it current.

2.3 Account security. You are responsible for protecting your credentials and for activity under your account. Notify us promptly at security@settenhq.com if you suspect unauthorised access.

2.4 Named users. Accounts are for named individuals. You may not share an account or transfer it to another person.

3. Workspaces and Administrators

3.1 Workspaces. A workspace may be created or used by an individual or by an organisation. If an organisation owns or controls a workspace, the organisation is responsible for that workspace and its users.

3.2 Administrators. Workspace administrators may invite and remove users, manage roles and permissions, configure integrations, manage billing, and access, export, modify, or delete content in the workspace.

3.3 Users. You are responsible for your users’ compliance with these Terms and for activity in your workspace.

3.4 Organisation-managed accounts. If you access a workspace using an email address or account provided by an organisation, that organisation may control your access to the workspace and the content in it.

4. Subscriptions, Payment, and Refunds

4.1 Plans. Paid subscriptions are described on the pricing page. Plan features, limits, prices, billing periods, and currencies may vary by location and may change over time.

4.2 Merchant of record. Purchases are processed by Paddle, our merchant of record. Paddle is the seller of the subscription, processes payments, taxes, refunds, and chargebacks, and acts as an independent controller for checkout and billing data. Your purchase is also subject to Paddle’s buyer terms shown at checkout. Subscriptions purchased in our mobile apps through the App Store or Google Play are sold by Apple or Google, not Paddle, and are subject to the Apple Media Services Terms or the Google Play Terms of Service.

4.3 Renewal. Subscriptions renew automatically at the end of each billing period until cancelled. Your payment method will be charged on each renewal date unless you cancel first.

4.4 Cancellation. You may cancel a subscription from workspace billing settings. Cancellation takes effect at the end of the current billing period. Deleting an account or workspace does not by itself cancel a subscription. App Store and Google Play subscriptions are cancelled in that store, as described in the Refund Policy.

4.5 Changes to plans. Upgrades and added seats may take effect immediately and may be charged on a prorated basis. Downgrades and removed seats take effect at the next billing period unless otherwise stated at checkout or in billing settings.

4.6 Refunds. Fees are non-refundable except as stated in the Refund Policy or as required by applicable law.

4.7 Taxes. Prices may exclude VAT, GST, sales tax, or similar taxes. Paddle, or Apple or Google for purchases through their stores, calculates, collects, and remits taxes where applicable.

4.8 Failed payment. If payment fails, we may restrict, downgrade, suspend, or terminate access after reasonable notice where practicable. You remain responsible for amounts properly due.

5. Acceptable Use

You must not, and must not allow others to:

  • use the Service in violation of privacy, data protection, recording, wiretapping, export control, or sanctions laws;
  • record, transcribe, monitor, or process a meeting or conversation in violation of Section 9;
  • upload or process unlawful, infringing, defamatory, harassing, or abusive material;
  • upload sensitive or regulated data unless you are legally allowed to do so and have appropriate safeguards;
  • attempt to access another user’s data or our systems without authorisation;
  • probe, scan, or test the vulnerability of the Service without our written permission;
  • interfere with, overload, disrupt, or circumvent the Service or its limits;
  • introduce malware or harmful code;
  • reverse engineer the Service except where law prohibits that restriction;
  • resell or provide the Service as a service bureau unless we agree in writing;
  • use the Service to build a competing product or publish benchmarks without our written permission; or
  • use AI Features for unlawful impersonation, deceptive activity, or automated decisions with legal or similarly significant effects without appropriate human review.

6. Third-Party Services and Integrations

The Service may integrate with third-party services. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or how they handle data once it leaves the Service at your direction. You may disconnect integrations where the Service or third-party provider allows it.

7. Privacy and Data Protection

7.1 Privacy Policy. Our Privacy Policy explains how we collect and use personal data.

7.2 Data Processing Agreement. Where we process Customer Content as your processor or subprocessor, our Data Processing Agreement applies.

7.3 Subprocessors. The current providers that process Customer Content or other material Service data are listed on the Subprocessors page.

7.4 Google user data. If you connect Google services, our use of Google user data is also subject to Google’s API Services User Data Policy, including Limited Use requirements.

8. Customer Content

8.1 Ownership. As between you and Setten, you retain all rights in content that you or your users submit to, create in, upload to, or generate through the Service (“Customer Content”).

8.2 Licence to operate the Service. You grant Setten a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, process, and otherwise use Customer Content only as necessary to provide, secure, maintain, and support the Service for you; comply with law; and enforce these Terms.

8.3 No training on Customer Content. We do not use Customer Content to train, retrain, fine-tune, or improve generative AI or machine learning models. We require relevant AI and transcription providers to process Customer Content only to provide the requested output and not to train their models on it.

8.4 Your responsibility. You are responsible for Customer Content. You must have the necessary rights and legal bases, provide required notices, and obtain required permissions and consents for us to process it as described in these Terms, the Privacy Policy, and the DPA.

8.5 Staff access. We do not access Customer Content except where necessary to provide support at your request or with your permission, investigate or respond to a security incident, address abuse, comply with law, or enforce these Terms.

9. Recordings

9.1 You control recording. The Service may allow recording, transcription, and AI-assisted meeting notes or summaries. You decide whether to use these features and which conversations to record or transcribe.

9.2 Notice and consent. You are responsible for meeting the legal requirements for each recording, transcription, and AI-assisted meeting feature. Unless Setten agrees otherwise in writing, you must have a valid legal basis, give clear prior notice, and obtain affirmative consent from every participant before recording, transcribing, monitoring, or processing a private meeting or conversation.

9.3 Required disclosure. Your notice must explain that Setten and its subprocessors may process the recording or transcript to provide transcription, summaries, AI assistance, storage, search, and related workspace features. You must also disclose any additional purpose you control.

9.4 No covert or deceptive use. You must not use the Service to secretly or deceptively record, transcribe, monitor, or analyse a private conversation. Product indicators or interface labels may not satisfy your legal obligations by themselves.

9.5 Objections and records. If a participant objects or withdraws consent, you must stop using the feature for that participant or conversation. You must keep records sufficient to show required notices and consents.

9.6 Sensitive and biometric data. Voice, image, transcripts, speaker labels, and derived information may be sensitive, biometric, or specially protected. You must not use speaker recognition, voiceprints, faceprints, emotion detection, health inference, or similar analysis unless you have met all heightened legal requirements.

9.7 High-risk conversations. You must meet any additional legal requirements before using these features for conversations involving medical or legal matters, employment or disciplinary matters, minors, finances, or other regulated, privileged, or sensitive information.

9.8 Participant requests. If a participant contacts us about a recording controlled by you, we will normally refer them to you or the relevant controller. We may act directly where required by law.

9.9 Enforcement. We may disable recording, transcription, or AI-assisted meeting features, remove content, or suspend access where required by law or needed to reduce legal or security risk.

10. AI Features

10.1 Outputs. AI-generated transcripts, summaries, suggestions, answers, and other outputs (“Output”) may be inaccurate, incomplete, misleading, or unsuitable for your use case.

10.2 Human review. You are responsible for reviewing Output before relying on it or sharing it. You must not rely on Output as the sole basis for legal, financial, medical, employment, or similarly significant decisions.

10.3 No professional advice. Output is not legal, financial, tax, medical, or other professional advice.

10.4 Ownership of Output. As between you and Setten, Output generated from your Customer Content is Customer Content. Similar or identical output may be generated for other users, and we do not represent that Output is unique or protectable.

11. Service Security and Availability

We maintain technical and organisational measures appropriate to the Service. No system is perfectly secure or always available. You are responsible for securing your devices, credentials, integrations, and workspace permissions.

We may perform maintenance, suspend access to address security risks, or take emergency action to protect the Service, users, or third parties.

12. Confidentiality

Each party may receive non-public information from the other that is marked confidential or should reasonably be understood as confidential. Each party will protect the other’s confidential information using at least reasonable care and use it only to perform under these Terms. Customer Content is your confidential information.

13. Intellectual Property

The Service, including software, interfaces, designs, text, documentation, trademarks, and know-how, is owned by Setten or its licensors. Except for rights expressly granted in these Terms, no rights are transferred to you.

If you provide feedback, you grant us a perpetual, worldwide, royalty-free licence to use it without restriction or compensation. We will not identify you as the source without your permission.

14. Suspension and Termination

14.1 By you. You may stop using the Service at any time. To stop paid renewals, cancel your subscription as described in Section 4.

14.2 By us. We may suspend or terminate access if payment is overdue, you breach these Terms, your use creates risk for the Service or others, or we are required by law.

14.3 Termination for convenience. We may terminate a paid subscription for convenience on 30 days’ notice and will refund prepaid fees for the unused remainder of the current billing period.

14.4 Effect. When paid access ends, Customer Content is retained and deleted as described in the Privacy Policy and DPA. You are responsible for exporting Customer Content before deletion.

14.5 Survival. Sections that by their nature should survive termination will survive, including Sections 7 through 10 and 12 through 21.

15. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will give at least 30 days’ notice by email or in-product notice before it takes effect, unless the change is required by law or needed to address security or abuse. Continuing to use the Service after the effective date means you accept the updated Terms.

16. Support and Complaints

Support is provided by email at hi@settenhq.com. We aim to acknowledge support requests within 2 business days, but do not guarantee a resolution time unless separately agreed in writing.

17. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that Output will be accurate or reliable. Nothing in these Terms limits liability that cannot lawfully be limited, or any mandatory consumer rights that apply to you.

18. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or data.

Each party’s total aggregate liability arising out of or relating to these Terms or the Service is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. If no fees were paid, our total aggregate liability is limited to USD 100.

These limits do not apply to payment obligations, your indemnity obligations, breach of confidentiality, or liability that cannot lawfully be limited.

19. Indemnity

You will defend and indemnify Setten against third-party claims, damages, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising from:

  • Customer Content;
  • recordings, transcripts, AI-assisted notes or summaries, or consent records made through your workspace;
  • failure to provide required recording, transcription, AI-processing, biometric, or sensitive-data notices, consents, releases, or safeguards;
  • your breach of these Terms or applicable law; or
  • disputes between you and your users or third parties.

We will notify you of a claim promptly where practicable and provide reasonable cooperation at your expense.

20. Governing Law and Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict of law rules. The competent courts of Vietnam have exclusive jurisdiction, except where mandatory law gives you non-waivable rights to bring claims elsewhere.

Before filing a claim, please contact hi@settenhq.com with a description of the dispute and the outcome you seek. If the dispute is not resolved within 30 days after we receive it, either party may begin proceedings.

21. General

These Terms, together with the Privacy Policy, Data Processing Agreement, Refund Policy, and any plan or checkout terms presented to you, are the entire agreement for the Service.

You may not assign these Terms without our written consent, except to a successor to substantially all of your business or assets. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets.

If any provision is invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship. We will not use your name or logo publicly as a customer reference without your permission.
